The Major Accounts Sales Ops Contracts Attorney is responsible for negotiating, drafting and closing a wide variety of complex client contracts, and related contracts, for the Major Accounts Division, including payroll, time and labor management, benefits administration services, tax filing and payroll services, under limited supervision.  Additional responsibilities will include preparing and updating services agreements and conducting periodic training on the Services Agreements and the contract process in general.  The primary focus is client conracts and documents related to client contracts.  Interfaces with all levels of Division and Corporate Management, including Sales and Business Operations.  Ensures that the negotiated and drafted agreement terms and conditions are made in the best interest of ADP (i.e. maximum benefit with minimum risk).  Affirms that agreements accurately reflect ADP’s policies/business practices and that the terms of the agreements comply with ADP business partners’ objectives.  Some travel may be required.

Interfaces with management, Corporate Attorneys, ES/Major Accounts Division and Sales Management, and client/third party partners attorneys and senior management on major contract issues.

Drafts comprehensive, complex contracts, addenda and related agreements which (a) completely and accurately reflect the intent of the parties to the transaction and the results of the negotiations, (b) are consistent with ADP’s business practices, policies and goals, and (c) address all relevant issues, individually and collectively, so as to minimize ADP’s exposure to risk.  Interfaces with Corporate Legal regarding contract stipulations, drafted language and ADP exposure issues.

Reports to Corporate Legal Department.

Requirements:

  • JD in NJ or NY.
  • three to five years experience in contract negotiation, drafting, and interpretation and contract process management (preferably with a variety of high dollar and volume client or vendor contracts.
  • Experience with software licensing, e-commerce and other technology-related contracts useful.
  • Sensitivity to regulatory issues and ability to recognize ERISA, COBRA, antitrust and securities issues when applicable is helpful.
