Trusts & Estates Associate

Description: Candidates must have 7+ years of extensive experience in all aspects of estate planning. Ideal candidate would be willing to work with and further develop existing firm clients as well as have an entrepreneurial goal to build his or her own practice within a larger group of upwards of 20 team members collaborating nationwide. Great growth potential in a strong national practice well integrated into the broader firm culture and practices, including its growing entertainment and media practice. Responsibilities will primarily include sophisticated estate and tax planning for high net worth individuals. Some probate and trust administration experience is preferred but not mandatory.


Labor & Employment Associate

Description: Successful candidates will have strong academic credentials and 4-6 years of mid or large law firm experience in labor & employment litigation and counseling. Substantive knowledge of employment laws, including but not limited to Title VII, ADA, ADEA, FMLA, FLSA, WARN, and trade secret protection required. Candidate must be able to advise clients on a variety of matters, including discrimination claims, covenants not to compete, employment agreements, employment policies, leave of absence issues, and employee discipline. Successful candidates will have 5-8 years of experience in private equity investments, public and private M&A and fund formation work.  Looking for highly motivated candidates interested in working with leading US sponsors and major corporate strategies on complex, high-profile, cross-border and U.S. domestic deals. Description: The State Tax Group is currently seeking a highly-motivated junior associate with one to three years of  experience in state and local taxation (law firm or accounting firm experience preferred) to join the firm's New York office. With the largest number of dedicated state tax lawyers in any law firm, Reed Smith’s State Tax team has the ability to serve clients across all taxes and all taxing jurisdictions. Our lawyers’ varied backgrounds generate diverse perspectives that allow them to understand more about our clients and their needs, and not solely the laws impacting them. These backgrounds include key roles and positions in state departments of revenue, Big 4 accounting firms, in-house, private practice, and taxpayer advocacy groups. This position will work directly with a collaborative and highly experienced team whose practice covers the full spectrum of state and local taxes and unclaimed property, with heavy involvement in innovative and complex litigation and creative policy solutions.

Successful candidates will have experience in employee benefits, executive compensation and equity-related matters that arise in corporate transactions, such as initial public offerings and mergers and acquisitions. Description: We are seeking a highly motivated 3-5 year associate with securities and financing experience. The position offers significant experience in matters including securities, M&A, private equity, venture capital, finance, and general corporate matters.  Successful candidate will have experience with preparation, review and negotiation of acquisition and financing agreements and related documents, due diligence, and related closing matters. Experience in preparing and reviewing '34 Act reports, registration statements, and other SEC documents is beneficial.


Product Liability Litigation Associate

Description: Successful candidates must have a Juris Doctor, admission to the New Jersey bar, 3-4 years of litigation experience (commercial or non-pharmaceutical product liability), strong oral and written communication skills, comfort with public speaking, and superior academic credentials. Aviation-related experience a plus.


Corporate & Transactional Advisory Group Associate

Description: This role requires someone excited about working in tandem with a collaborative and experienced team delivering high quality legal work and seamless execution of our legal services across our 26 offices.  Successful candidates will have:

•5-7 years of experience representing public and private clients in M&A, private equity, venture capital, securities offerings and securities law compliance, and general corporate matters.

•Hands on drafting and negotiating experience for complex M&A and private equity transactions and related investment agreements.

•Experience in drafting partnership and operating agreements
