Associate Counsel - Non-Profit Foundation

Our client, a large, non-profit organization focused on health, is seeking an Associate Counsel to join its team located in Central New Jersey.  Reporting to the Associate General Counsel and Chief Investment Counsel, the principal responsibilities of the Associate Counsel will be to assist in the legal review of (1) the organization’s investments and related matters and (2) other organization contracts and related matters, including agreements with administrative and programmatic consultants and vendors, in each instance in compliance with the organization’s policies and guidelines.

The Associate Counsel reports directly to the Associate General Counsel and Chief Investment Counsel with a dotted line to the Senior Counsel.

Job Responsibilities:

  • Assist in the structuring, review, negotiation, and preparation of agreements and other documentation related to the organization’s investments, including, but not limited to, private equity investments, hedge fund investments, co-investments, and secondary purchases and sales, including managing outside counsel representing the organization as needed.
  • Assist in the legal review of post-investment matters, including, but not limited to, proxy voting, amendments, terminations, advisory committee participation, and sales of restricted securities distributed by private equity funds.
  • Attend and record minutes of the meetings of the Board’s Investment Committee.
  • Assist in structuring, review, negotiation, and preparation of agreements and other documentation related to the non-investment areas of the organization’s affairs, such as vendor agreements, licensing agreements, hotel agreements, nondisclosure agreements, collaboration agreements, etc.
  • Contribute to and participate in select internal committees of the organization and carry out other responsibilities as assigned by General Counsel’s office.

Requirements:

  • JD degree, New Jersey license (or ability to obtain New Jersey license to practice as in-house counsel), and a minimum of 5+ years of related experience, working at a law firm, private foundation, university, or other non-profit.
  • Expertise in the legal issues related to private equity investments, other alternative investments, and general contract matters.
  • Possess or demonstrate the ability to quickly acquire familiarity with laws relating to investments by private foundations, such as unrelated business income tax, private foundation excise tax and the excess business holdings and self-dealing rules.
